Formation of Contract
1.1. These Terms and Conditions, combined with the Estimate, constitute the complete agreement between Deseyegn Ltd (company number 13614631, registered in England and Wales) and the Client. This agreement comes into effect once an appointment is made for Deseyegn Ltd's services, encompassing both the Interior Design and Project Management phases.
1.2. We urge you to carefully review these terms and conditions before engaging in our services. If any of the terms are unacceptable to you, it is advisable not to proceed with Deseyegn Ltd.
Deseyegn Ltd Obligations
2.1. Deseyegn Ltd strives to provide clients with estimated project timelines as soon as possible after generating quotes. However, please note that these dates are approximations, and we cannot be held accountable for any delays in project completion.
2.2. Our responsibilities include organizing third-party companies, firms, or individuals ("Third Party Suppliers") to execute specific tasks, such as decorating, building work, curtain and blind manufacture, and other confirmed services, during the Project Management phase.
2.3. Deseyegn Ltd may directly supply goods and materials to the Client when required.
Client Obligations
3.1. The Client is responsible for ensuring that their property remains accessible to Deseyegn Ltd's employees and Third Party Suppliers throughout the project, especially during the Project Management phase.
3.2. It is incumbent upon the Client to provide utilities such as electricity and water at no cost to Deseyegn Ltd throughout the project.
3.3. By agreeing to these terms, the Client affirms their full awareness of the ongoing work and confirms their satisfaction with all items discussed and quoted.
Delivery of Goods and Services
4.1. Delays arising from Third Party Suppliers or tradespeople are beyond the control of Deseyegn Ltd, and as such, we cannot be held responsible for such overruns.
4.2. If goods are purchased through Deseyegn Ltd, we will arrange a suitable delivery date by contacting the client one week prior to the delivery of furniture, goods, or services. While we make every effort to ensure timely delivery, we do not offer refunds for delays beyond our control.
4.3. The Client must make timely decisions, be available for meetings, and take necessary actions to ensure the timely completion of the Design Proposal.
4.4. The responsibility for implementing the Design Proposals, including verifying dimensions and sourcing bespoke and custom-made goods, rests with the Client.
4.5. Any requested changes to the Design Proposal must be conveyed in writing, along with specific instructions regarding the specifications.
4.6. Clients are responsible for thoroughly understanding the Design Proposal and may seek clarification before mutual agreement is reached.
4.7. Deseyegn Ltd reserves the right to photograph and publish project stages with reasonable access granted by the Client.
Third Party Suppliers
5.1. The Client enters into a direct contractual relationship with Third Party Suppliers and is responsible for managing these relationships, including financial settlements.
5.2. Deseyegn Ltd may facilitate coordination and financial settlements with Third Party Suppliers on the Client's behalf during the Project Management phase, but the Client remains primarily responsible for these contractual relationships.
5.3. It is essential to understand that Deseyegn Ltd does not undertake the formation of any contractual relationship on behalf of the Client.
5.4. The Designers (Deseyegn Ltd) commit to delivering Goods and/or Services to the Client in accordance with the Contract.
5.5. Delivery of Goods and/or Services will be made to the Site specified in the Order Form or as mutually agreed upon.
5.6. Time for delivery is not considered critical, and Deseyegn Ltd cannot be held liable for delays due to third parties, Force Majeure, or other external factors.
5.7. Clients should accept that the Designers may adopt a flexible schedule for completing the Design Proposal based on circumstances beyond their control.
5.8. In the event that the Client fails to take delivery of the Goods within 3 Business Days of notification by the Designers, the delivery is considered complete, and storage fees may apply.
5.9. Deseyegn Ltd conducts extensive research on furniture companies and third-party service suppliers, offering recommendations based on our confidence in their quality standards. However, it's crucial to acknowledge that we have no control over their operations. The list of resellers and recommended individuals should not be misconstrued as an absolute endorsement or guarantee of their services or products.
If you have any doubts, we strongly encourage you to independently assess the quality and financial stability of these resellers and companies before proceeding with any purchase orders. Your satisfaction and peace of mind remain our top priorities, and we are committed to ensuring you make informed decisions.
For bathroom and electrical fittings that we recommend, if the client decides not to proceed with the project management phase, it is crucial to verify the suitability of each product. We recommend consulting with a qualified plumber or electrician to ensure that these fittings align with your specific requirements and any local building codes or regulations.
5.10. If 20 Business Days pass without the Client taking delivery of the Goods and/or Services, the Designers may opt to resell or dispose of them.
Payment & Billing Terms
6.1. The charges for our services are detailed in the accompanying Estimate, or as amended by Deseyegn Ltd.
6.2. Payments are accepted via bank transfer.
6.3. Payment timelines are as follows:
For design fees under £1,000, full payment in advance is required.
For design fees between £1,000 and £5,000, a 50% deposit is due upon confirmation, with the remaining 50% payable before receiving the final design.
For design fees over £5,000, payment terms are as follows: 30% upfront, 30% after first drafts, 30% after project revision, and the remaining 10% before final drawings.
6.4. Construction materials, furniture, or products required for the project necessitate full payment in advance, unless otherwise specified (see 6.2 for payment methods).
6.5. Overdue accounts will incur interest at a rate of 5% per month.
6.6. Payment for Project Management and Purchasing Services must be made after the project commences. Failure to do so may result in delays and additional fees.
6.7. Deseyegn Ltd retains the right to adjust charges for additional work in cases where numerous changes are requested without a clear agreement on project details.
Cancellation and Termination Policy
7.1. Clients have the option to cancel the contract within 7 days of its conclusion if they are dissatisfied with the services.
7.2. Following the initial 7-day period, cancellation by the Client may entail costs for Services provided up to the termination date.
7.3. The failure of either party to address a breach of contract does not constitute a waiver of that breach.
Liability
8.1. Deseyegn Ltd shall not be held liable for any loss or damage resulting from incomplete, incorrect, or inaccurate information provided by the Client.
8.2. We are not liable for unforeseeable losses or damages, including loss of profit, consequential loss, or damage to property or items during construction or project management.
8.3. Neither party is liable for failure to perform due to circumstances beyond their control, such as strikes, acts of God, government restrictions, wars, or any other causes.
Data Protection
9.1. Deseyegn Ltd is committed to safeguarding your personal data and will not share it with third parties without your prior consent.
9.2. Personal data provided to Deseyegn Ltd by the Client will be securely stored, with access limited to authorized staff members.
9.3. Personal data will never be visible to other clients of Deseyegn Ltd.
Copyright
10.1. All intellectual property rights in materials, documents, and plans produced by Deseyegn Ltd are the exclusive property of Deseyegn Ltd.
10.2. The Client may utilize these materials in connection with the Services but not for commercial purposes without the prior written consent of Deseyegn Ltd.
General
11.1. These terms and conditions cannot be assigned or transferred without the prior written consent of the other party.
11.2. These terms are governed by English law, and disputes will be subject to the jurisdiction of English courts.
Dissatisfaction with Services
12.1. If the Client is dissatisfied with the Services, a formal written complaint must be submitted to Deseyegn Ltd within 7 days of Service delivery.
Site Visit & Survey
13.1. If a site visit and survey are required and fall outside of London's M25, additional fees will apply. Please refer to the Estimate for specific charges.
Project Timelines
14.1. The project's start and end dates are estimates. Any additional work requested after the delivery date will incur separate charges.
Expenses
15.1. The Client agrees to reimburse Deseyegn Ltd for reasonable costs and expenses incurred during the project, including but not limited to storage fees, delivery fees, external consultants' fees, and parking fees.
Changes and Amendments
16.1. Deseyegn Ltd may charge additional fees if numerous changes are requested by the Client.
Complaints
17.1. The Client must notify Deseyegn Ltd of any complaints regarding the Services provided within 7 days of Service delivery.
Termination
18.1. The Client has the right to cancel the contract within 7 days of its conclusion. After the initial 7 days, termination by the Client may incur costs for Services provided up to the date of termination.
